Technical Support Services Agreement

1. Scope of Services:

The Service Provider agrees to provide technical support services to the Client as described in Exhibit A (attached hereto and incorporated by reference).

2. Term:

3. Service Levels:

The Service Provider agrees to maintain service levels as specified in Exhibit B (attached hereto and incorporated by reference).

4. Service Fees:

In consideration for the technical support services provided, the Client agrees to pay the Service Provider the fees outlined in Exhibit C (attached hereto and incorporated by reference).

5. Payment Terms:
